Terms & Conditions of Use

These Terms and Conditions ("Terms") govern your access to and use of the DARe platform, website, software, reports, Property Intelligence, subscriptions and all associated services provided by DARe-me Property Portfolio Ltd ("DARe", "we", "our" or "us").

By creating an account, accessing or using DARe, you confirm that you have read, understood and agree to be legally bound by these Terms.

If you do not agree, you must not use the platform.

DARe is a digital Property Intelligence platform.

DARe provides structured Property Intelligence designed to assist users in evaluating property opportunities and supporting better-informed property decisions.

DARe is not an architectural practice, engineering consultancy, planning consultant, surveyor, solicitor, financial adviser or investment adviser.

You must:

• be at least 18 years old
• have authority to enter into these Terms
• provide accurate registration information
• keep your account details secure

You are responsible for all activity carried out using your account.

Users must register an account before accessing paid services.

You agree to:

• keep passwords secure
• notify us immediately of unauthorised access
• maintain accurate account information

We may suspend or terminate accounts where misuse is suspected.

Professional subscriptions renew automatically until cancelled.

Subscription fees are payable in advance through Stripe.

Failure to make payment may result in suspension or termination of access.

We reserve the right to amend subscription pricing for future billing periods with reasonable notice.

Existing Founding Member pricing (where offered) will continue in accordance with the applicable Founding Member terms.

Discovery, Insight and Intelligence reports are one-off digital purchases.

Due to the nature of immediately supplied digital content, refunds may not be available once processing has commenced, except where required by law.

DARe generates Property Intelligence using proprietary methodologies, structured analysis and technology.

Property Intelligence is provided solely to assist users in making more informed property decisions.

Property Intelligence:

• is informational
• is not professional advice
• must not be treated as a guarantee of any outcome
• should always be considered alongside appropriate professional advice

You acknowledge that DARe does not replace professional advice.

Before committing to:

• purchasing property
• selling property
• submitting planning applications
• commencing construction
• securing finance
• entering legal agreements
• undertaking development works

appropriate professional advice should always be obtained.

You remain solely responsible for:

• all property decisions
• financial decisions
• planning decisions
• investment decisions
• construction decisions
• legal decisions

DARe supports decision-making.

DARe does not make decisions on your behalf.

While every reasonable effort is made to provide useful and reliable Property Intelligence, DARe does not warrant that information is:

• complete
• current
• error free
• suitable for every circumstance

Property conditions, planning policies, legislation, regulations and market conditions may change without notice.

All intellectual property rights remain the exclusive property of DARe-me Property Portfolio Ltd.

This includes:

• DARe
• DARe Property Knowledge Engine™
• branding
• logos
• software
• reports
• layouts
• graphics
• databases
• methodologies
• algorithms
• prompts
• source code
• documentation
• designs
• user interface
• generated report structure

No ownership transfers to users.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable licence to use the platform for your own internal purposes.

You may not:

• copy
• resell
• reverse engineer
• scrape
• reproduce
• modify
• distribute
• commercially exploit

any part of the platform without written permission.

Reports are produced solely for the named customer.

They may not be relied upon by:

• purchasers
• lenders
• investors
• contractors
• consultants
• solicitors
• third parties

without our prior written consent.

You must not:

• upload unlawful material
• infringe intellectual property
• introduce malware
• attempt unauthorised access
• overload the platform
• interfere with other users
• use automated scraping tools
• attempt to train competing AI systems using DARe outputs

We reserve the right to suspend or terminate access where:

• these Terms are breached
• fraudulent activity is suspected
• payment fails
• security risks arise
• misuse occurs

We aim to maintain continuous availability.

However we do not guarantee uninterrupted service.

Maintenance, upgrades or events outside our control may temporarily affect availability.

DARe may integrate with third-party providers.

We are not responsible for the availability, accuracy or content of third-party services.

THIS IS THE KEY CLAUSE.

To the fullest extent permitted by law:

DARe-me Property Portfolio Ltd shall not be liable for:

• loss of profit
• loss of revenue
• loss of opportunity
• loss of anticipated savings
• business interruption
• indirect loss
• consequential loss
• special damages
• investment losses
• property acquisition losses
• planning refusal
• construction costs
• delays
• financing decisions
• development viability
• market fluctuations

Our total aggregate liability arising out of or in connection with the platform, any report, Property Intelligence, subscription or other services shall never exceed the amount actually paid by the customer for the specific product or, in the case of subscription services, one month's subscription fee immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot lawfully be excluded under applicable law, including liability for fraud or fraudulent misrepresentation, or for death or personal injury caused by negligence where such exclusion is prohibited by law.

You agree to indemnify and hold harmless DARe-me Property Portfolio Ltd against any claims, losses, damages, liabilities or costs arising from:

• misuse of the platform
• breach of these Terms
• unlawful activities
• infringement of third-party rights

We shall not be liable for delays or failures resulting from events beyond our reasonable control.

We may amend these Terms from time to time.

Continued use of the platform constitutes acceptance of the updated Terms.

These Terms shall be governed by and construed in accordance with the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction unless otherwise required by applicable law.
